Have you tried to uninstall it (from Start -> Control Panel -> Add/Remove programs) and the install Parallels Tools back?

If you did (or that did not help), can you send us a reprot via Parallels menu -> Help -> Report a problem and post here the report ID?

The network connection is not directly replated to Parallels Tools installation, try switching to different network mode first. If it would not help, then after we would be able to install Parallels Tools, check the following article to troubleshoot network problem: http://kb.parallels.com/en/5664

    1. Try to connect Parallels Tools .iso image manually (Configure -> CD/DVD ROM, the image should be located in /Library/Parallels/Tools/prl-tools-win.iso).

    2. Uninstall Parallels Tools if you see it in Add/Remove programs.

    3. Disable or, even better, temporary uninstall Avast antivirus, or any other antivirus software that might be present in Windows.

    4. Try installing Parallels Tools directly from the attached CD image. (i.e. double-click on the CD, or run "setup.exe" in the CD).
