Trouble upgrading to 4.0

I have downloaded my link for 4.0, but when I run the installation process it tells me that Windows XP is running somewhere in the background and I have to stop and for installation to continue. If I open parallels desktop (the old version) XP is stopped. I can't figure out how to end whatever processes running that the installation is detracting. I have gone and my activity monitor and can't determine anything there that is the problem. I'm hoping somebody can help. I've had a terrible time getting this version of parallels. The previous download ran into problems as well.
