Is there a place I can download the tools to install with my VM?? Using 3.0 (4128) I did not get the tools installed after loading up the VM after XP installed.

They should install automatically when you start Win the first time.

Go to My Computer and see what the D: drive is. If it is the Tools image, vs. the real CD-DVD drive, click on it to run it; you may have autorun disabled which means the install would not happen automatically.

After install you will have to set the drive from image to hardware or some such. Click on the drive icon at the bottom of the screen to get the options to show. There are several threads on this in one of the forums.

If they don't show up under D:, there is a menu option under "Actions" called "Install Parallels Tools..." that will mount the tools install as your CD/DVD drive. Try doing that and if it doesn't autostart then look at D: (or your cd/dvd drive) and run it manually.
