Stuck on "Preparing Parallels Desktop 5 for Mac"

Just paid for and downloaded Parallels Desktop 5 for Mac and cannot install.
I have a Macbook Pro with Snow Leopard installed. I recently (September) purchased the MacBook and Parallels 4 (unfortunately I got it in September so I had to pay for the upgrade). Parallels 4 was installed and working.
When I ran the upgrade downloaded from website, it gets stuck on "Preparing Parallels Desktop 5 for Mac". After waiting for an hour I did a force quit, tried again and it still gets stuck.
Not a great experience.
I saw someone else posted with no answer.
So an older post from 2008 where Parallels responded sending the user a link to another version.
What is happening?

I have found that if you kill all the other jobs running on your MAC it will work. I had the same problem. I am not sure what was holding things up.. XCode, Firefox, Safari.. who knows. I just turned everything down and then Voila! it worked perfectly.

You are right!!! It's Xcode. If you have Xcode running you can't install ANYTHING... Strange I didn't find this in any Apple forum, but perhaps it's there and didn't check well enough.
