I too had this problem with the latest update (Nov 2013), with prl_cc.exe not allowing Windows to close down. Details are now in the hands of the Parallels Development Team. There are two options you can try. One work-around is to exit Coherence before closing down Windows.
Another solution is to reinstall the previous version.
- Download the installation build using the following link: http://download.parallels.com//desktop/v9/update1.hf1/ParallelsDesktop-9.0.23140.935944.dmg "ParallelsDesktop-9.0.23140.935944.dmg
- Shut down your virtual machine
- Quit Parallels Desktop
- Go to Applications -> find Parallels Desktop -> move it to trash (this wont delete your virtual machine, just Parallels Desktop application itself)
- Install Parallels Desktop using downloaded installation file. When offered the latest version click on 'Skip'.
- Start Windows virtual machine
- Install Parallels Tools (the installation should be started automatically, if it does not please go to Virtual machine menu -> Install.Reinstall Parallels Tools)
Both solutions worked for me. Choose what's best for you.
