Cannot install parallels tools on win x64

My install fails when I am trying to install the tools on Snow Leopard boot camp/WIN x64.

I get an "error 1306. Another application has exclusive rights to the file C:\windows\system32\prl_boot.sys. Please shutdown all other applications. then click retry.

I have shut down everything I can. still it doesn't work.

I have uninstalled Parallels and reinstalled still doesn't work.

I have tried to manually delete the file and I can't seem to do it. I get told that another program has it open.

I have tried to open a support case, but the web site seems to have borked up my registration. I registered when I bought the software, but when I came to the site it made me register again and when I associated my serial number to the account it says its already associated with another account.

Not sure what to think.
 
Elric suggested renaming prl_boot.sys to something else. I can't change the name even if I boot windows into safe mode. I'm going to try and do a system restore and see if it removes the file.
 
Ok, That was a pain. I couldn't do system restore because of the file not allowing access so I booted from a windows 7 disk and finally got it off. Here's the steps that worked for me.

1. Insert win 7 disk and reboot.
2. Hold down option button until you get the option to boot from the win 7 disk.
3. Hit any key to boot from dvd
4. When the Win 7 menu opens up hit the next button for the default settings.
5. Choose repair option.
6. Choose the boot camp partion.
7. On the repair menu, choose command prompt.
8. Type "C:"
9. Type "chkdsk /f" (Notice the space between chkdsk and /f)
10. You will get a message that the chkdsk can't continue unless the volume is unmounted. You want that to happen. Press "y" to allow. Allow chkdsk to finish
11. Type "cd windows/system32/drivers".
12 Type "DEL prl_boot.sys
13. Close window and reboot system in Snow Leopard (or Leopard)
14. Launch the Parallels 5 and boot the Windows virtual
15. Install Parallels tools.

So far my system is now running rock solid.
