Can't Install Windows 10 over Win 8.1 Parallels 10

I m unable to install Windows 10 over Win 8.1.
I downloaded 10 as an ISO from Microsoft and Parallels wants to install it as an additional OS. Is there a way to just upgrade the 8.1 to 10?
Also, in 10, when I install it's asking for a serial number which of course is not necessary to install. If I choose to Skip that function, it stops installation.

Any ideas?

Activation prompts if you are trying to install a new Windows 10 Virtual Machine in Parallels Desktop 10 for Mac. It will not prompt if you are trying to upgrade to Windows 10 Virtual Machine.
To upgrade your Windows virtual machine to Windows 10 please follow the knowledge base article given below:

NOTE: for installing a 64-bit version of Windows 10 please make sure your virtual machine has at least 2GB of RAM assigned. To check virtual machine's RAM please open configuration menu -> Hardware tab -> CPU & Memory. To increase the memory you would need to shut down your virtual machine.
